Contracts Manager at iProov

Our highly ambitious growth plans for 2022 and beyond mean we require an experienced Contracts Manager to join our Compliance function to manage all supplier contracts and customer contract negotiations within the business.

The role promotes variety, autonomous working (whilst being part of an amazing team) and interacting with a wide range of stakeholders across iProov. Your role will see you lead the contract negotiation process, liaising directly with stakeholders and customers, to drive contracts through to completion.

As mentioned, the role will involve working closely with business area owners, second line functions within iProov and our external legal counsel, ensuring stakeholders are comfortable with the terms agreed and that iProov’s interests are advanced and protected.

Role Responsibilities:

  • Contract drafting (NDA, MSA and DPA)
  • Supplier contract review and negotiation (working on NDA, DPA, SCC & MSA)
  • To manage the inbound/ supplier contracts process
  • Lead negotiation of outbound customer contracts from commit stage to closed-contracted
  • Coordinate all stakeholders internally through contracting process – Revenue; Solutions Consulting; Customer Success; Technical; Compliance; Finance
  • Establish internal and external processes for contract management
  • Establish a streamlined and effective feedback process on customer contracts
  • Negotiate and manage NDAs, POCs, customer contract variations and renewals
  • Coordinate RFI and RFP processes, working closely with internal stakeholders
  • Perform risk assessments of proposed contractual terms and conditions, and develop recommendations to minimise their potential risk to the business
  • Liaise with Legal Counsel to ensure all contracts/ agreements are negotiated in line with our legal requirements
  • Identifies areas in contract negotiations where senior management support and/or intervention is required
  • Develop standard form customer contracts
  • Share knowledge of customer contracts with wider team to foster commercial awareness
  • Train and provide guidance to business personnel on contracting policies and procedures

What we’d like from you:

Key to success

  • Extensive experience as an outbound commercial contracts negotiator
  • Good understanding of applicable data protection legislation (UK GDPR, GDPR, DPA 2018) & contractual requirements
  • Process driven, ability to multitask, prioritise and manage time efficiently
  • Ability to work on own initiative
  • Good judgement in balancing business and commercial needs and potential risks/exposures with counterparty requirements
  • Accurate and precise attention to detail
  • Previous experience of working at pace within a fast growth environment
  • Excellent negotiation skills
  • Understanding of the various functions within iProov and how these come together through customer contracts
  • Pragmatic approach, maintaining balance between speed and ensuring a positive outcome that meets our commercial objectives and legal/ compliance requirements


  • Advantageous if you have any understanding of US data protection laws
  • A Bachelor’s degree in Law will be beneficial to someone in this role
  • Relevant industry or product specific experience of advantage
  • Saas Contract experience
  • Contracting with financial institutions and/or government departments.
