Verified Video Demo App – Terms of Use

PLEASE REVIEW THESE TERMS CAREFULLY. BY USING THE IPROOV VERIFIED VIDEO DEMO APPLICATION (“VERIFIED VIDEO” OR THE “APP”), YOU ACKNOWLEDGE AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE (THE “AGREEMENT”). IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE OR ACCESS THE APP.

By accessing or using the App, you confirm that you have read, understood, and agree to comply with the terms of this Agreement. If you do not agree to these Terms, or if you do not meet the eligibility requirements set out below, you must not access or use the App in any manner.

The Verified Video Demo App is provided by iProov Limited (“iProov”, “we”, “us”, or “our”), a company incorporated in England and Wales with company number 07866563 and registered office at 14, Bank Chambers, 25 Jermyn Street, London, SW1Y 6HR. The App is made available solely for the limited purpose of enabling authorised participants to experience iProov’s biometric liveness detection technology in a controlled, non-production environment. It is designed for demonstration use only and is not intended for live identity verification, production deployment, or commercial use.

As part of the demonstration, the App is used in conjunction with a video call facilitated via the Pexip video conferencing platform. During the session, facial imagery is captured and processed in real time by iProov’s biometric models hosted on secure infrastructure in the European Economic Area. The results of the liveness assessment are made visible to a designated referee solely for demonstration purposes.

1. Accepting this Agreement

1.1  You may not access or use the App or accept this Agreement if:

a) you are not of legal age or capacity to form a binding contract with iProov under the laws of your jurisdiction; or
b) you are a person who is prohibited from using or receiving services of the nature provided by the App under applicable laws, including but not limited to the laws of the United Kingdom,  the European Union, or the Jurisdiction  in which you reside or are located at the time of use.

1.2 If you proceed to use the App, you are confirming your acceptance of this Agreement and the processing of your personal data for demonstration purposes.  These Terms constitute a binding legal agreement between you and iProov. If you do not agree to the terms set out herein, you must not use the App.

1.3 These Terms apply to your use of the App unless a separate written agreement has been entered into between you (or your organisation) and iProov that specifically governs your use of the Verified Video Demo App. Where such an agreement exists, the terms of that agreement shall prevail to the extent of any inconsistency, and this Agreement shall not apply.

2. Definitions

For the purposes of this Agreement, the following definitions shall apply:

“App” or “Demo App” means the Verified Video demonstration application made available by iProov for trial and non-commercial demonstration purposes.
“Data Protection Legislation” means all applicable data protection and privacy legislation in force from time to time, including the UK GDPR, the EU GDPR, and the Data Protection Act 2018.
“Personal Data” has the meaning given under the applicable Data Protection Legislation.
“User”, “you” or “your” means the individual accessing or using the App, or the organisation on whose behalf such individual is acting.
“Biometric Data” means personal data resulting from specific technical processing relating to the physical, physiological or behavioural characteristics of a natural person, which allows or confirms the unique identification of that person.

3. Verified Video and How it Works 

3.1 The App is provided exclusively for the purpose of demonstrating iProov’s biometric liveness detection capabilities in a non-production, controlled environment. It is designed to enable participants to experience how iProov’s technology operates during a simulated identity interaction, without the App being used for live identity verification, production authentication, or any form of potential commercial deployment.

3.2 The demonstration takes place via a video call conducted using iProov’s self-hosted instance of the Pexip video conferencing platform. During the call, the App captures still frames from the user’s video feed at regular intervals. These frames are processed in real time by iProov’s biometric models, which are hosted in Google Cloud Platform infrastructure located within the European Economic Area. A summary of the liveness results is made available to the demonstration facilitator (the referee) through a separate interface.

3.3 All personal data, including biometric imagery and related scores, is processed solely for the purpose of this demonstration.
The App must not be used for any other purpose, including but not limited to:

1. 1. 1. Any form of identity verification in a production environment;
      2. Testing or development unrelated to the demonstration;
      3. Use in commercial offerings, research studies, or automated decision-making;
      4. Integration with other products or services beyond the scope of the demo.

3.4 By using the App, you agree to use it strictly for demonstration purposes as described in this Agreement and in accordance with any instructions provided by iProov in connection with the demo.

4. Accessing the Demo App

4.1.  Access to the Verified Video Demo App is granted strictly for the purpose of participating in a live demonstration session, either (i) directly facilitated by iProov, or (ii) hosted by an authorised partner.

4.2. You may access and use the App solely during the course of a scheduled demonstration, and only in accordance with the terms of this Agreement and any written or verbal instructions provided by iProov or the designated demonstration host. Access is restricted to the specific session for which it is granted and may be time-limited or session-based.

4.3.  Access credentials (such as session URLs or temporary tokens) are personal to you and must not be shared, transferred, or otherwise disclosed to any third party. You must not allow any other person to access the App on your behalf or use your credentials.

4.4. Access to the App requires a compatible internet-connected device with a functional front-facing camera. You are solely responsible for ensuring that your device meets the technical and environmental requirements necessary for participation in the demonstration.

4.5. iProov may revoke, suspend, or restrict your access to the App at any time, with or without notice, where it determines (in its sole discretion) that such action is necessary to preserve the integrity, confidentiality, or proper conduct of the demonstration, or to enforce this Agreement.

4.6. You must at all times comply with the Acceptable Use Policy, attached to this Agreement as Schedule 1. Breach of the Acceptable Use Policy constitutes a material breach of this Agreement and may result in immediate suspension or revocation of your access to the App.

4.7. For clarity, you are only permitted to do that which is expressly authorised under this Agreement. If a right, permission, or entitlement to use, access, or interact with the App or the demonstration infrastructure is not clearly and affirmatively granted to you in this Agreement, then no rights or permissions shall be implied or inferred beyond those explicitly stated.

5. The Privacy Notice 

5.1. Use of the Verified Video Demo App requires the collection and limited processing of your personal data, including biometric data. For full details on how your information is collected, used, stored, and shared, please refer to the Verified Video Demo Privacy Policy. The Privacy Policy also explains your rights and the ways in which you can exercise control over your data, including how to withdraw consent or request deletion.

5.2. By agreeing to these Terms of Use and participating in the demonstration, you provide your full, informed, and freely given consent to the processing of your personal data, including biometric data, as described in the Privacy Policy and in accordance with this Agreement.

6. Intellectual Property

6.1 All intellectual property rights in and to the Verified Video Demo App, including but not limited to the software, biometric models, processing logic, user interfaces, demonstration outputs (such as liveness scores), video and imagery generated during the session, underlying algorithms, designs, content, and documentation (together, the “Demo Materials”), are and shall remain the exclusive property of iProov Limited or its licensors.

6.2  The App and all associated Demo Materials are made available to you on a strictly limited, non-exclusive, non-transferable, and revocable basis, solely for the purpose of observing and participating in a demonstration of iProov’s technology in accordance with this Agreement. You are not granted any rights to copy, modify, distribute, decompile, disassemble, reverse engineer, extract, reuse, or create derivative works from the App or any part of the Demo Materials.

6.3 You must not record, photograph, screenshot, download, extract, scrape, replicate, display, publish, or otherwise retain or disseminate any part of the App or the Demo Materials, unless you have obtained prior written consent from iProov.

6.4 Any feedback, comments, suggestions, or input provided by you regarding the App or the demonstration shall be deemed non-confidential and may be used by iProov without restriction or attribution. You hereby assign to iProov all intellectual property rights in any such feedback to the extent permitted by law.

6.5 Nothing in this Agreement shall be construed as transferring any ownership or granting any licence (whether express or implied) in relation to iProov’s technology, trade marks, trade secrets, or proprietary methodologies, except as expressly set out herein.

7. Our Marks

7.1 All trade marks, service marks, trade names, logos, domain names, and other brand features of iProov (the “Marks”) that appear in connection with the Verified Video Demo App, the demonstration services, associated materials, or documentation, are the exclusive property of iProov or are used under licence from their respective owners.

7.2  Nothing in this Agreement shall be construed as granting you any licence or right to use the Marks without prior written permission from iProov. Any unauthorised use of the Marks is strictly prohibited and may constitute a violation of applicable intellectual property laws.

8. Confidentiality 

8.1 You agree to treat as confidential all information of a confidential or proprietary nature disclosed or made available to you by iProov in connection with your access to or use of the Verified Video Demo App, whether orally, visually, electronically, or in writing. “Confidential Information” includes, without limitation:

a) all non-public product features or functionality visible during the demonstration,
b) biometric model behaviour and performance,
c) demonstration outputs (such as liveness results),
d) technical documentation,
e) visual designs and interfaces,
f) internal commentary or guidance provided by iProov representatives,
g) and any other information that, by its nature or context, ought reasonably to be considered confidential.

8.2 You may use Confidential Information solely for the purpose of participating in the demo session and for no other purpose. You must promptly notify iProov if you become aware of any unauthorised use, access, or disclosure of Confidential Information.

8.3 You must not, without iProov’s prior written consent, disclose, copy, modify, or distribute any Confidential Information, except to the extent strictly necessary for your permitted participation in the demonstration under this Agreement.

8.4 You may disclose Confidential Information to your officers, employees, professional advisers, or contractors solely where it is strictly necessary for your participation in the demo and provided that such individuals are bound by written confidentiality obligations no less protective than those in this Agreement. You remain liable for any unauthorised use or disclosure by such individuals.

8.5 If you are required by law, court order, or regulatory authority to disclose any Confidential Information, and where legally permitted, you shall notify iProov in advance to allow it to take protective measures. You agree to cooperate with iProov in any reasonable efforts to challenge or limit such disclosure.

8.6 Your obligations under this clause shall survive the termination or expiration of this Agreement for a period of five (5) years, or longer where the Confidential Information constitutes a trade secret under applicable law.

9. Promises and Disclaimers 

9.1  To the maximum extent permitted by applicable law, you acknowledge and agree that the Verified Video Demo App is provided on an “AS IS” and “AS AVAILABLE” basis. All implied warranties, representations or conditions of any kind—whether statutory, common law or otherwise—including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted use, are hereby excluded.

9.2 Without limiting the above:

(a) the App may contain bugs, limitations or technical errors, and the presence of such issues shall not constitute a breach of this Agreement
(b) the App is made available free of charge for the sole purpose of showcasing iProov’s liveness detection technology during a live demonstration session at an event or conference, and may not include the full functionality, robustness or security features of iProov’s production services
(c) iProov does not guarantee that the App will operate without interruption or fault
(d) you are solely responsible for ensuring your device and environment are suitable for participation in the demonstration
(e) iProov accepts no responsibility for how the results of the demonstration are interpreted or relied upon by you or any third party

9.3 iProov shall have no liability for any access, use, or reliance on the App or the demonstration outputs by unauthorised users or in any context beyond the intended scope of the demo session.

9.4 To the maximum extent permitted by law, iProov:

(a) does not make and expressly disclaims any additional promises, representations or warranties (express, implied or statutory) regarding the functionality, availability or accuracy of the App or the outputs generated during the demonstration
(b) shall not be responsible for any damage or loss caused by viruses or other harmful material unless knowingly introduced by iProov.

10. Failures of Networks, Devices or Services

10.1 The Verified Video Demo App is delivered through a browser-based interface and depends on a functioning device, front-facing camera, and a stable internet connection. The live video call is facilitated using iProov’s self-hosted instance of the Pexip video platform.

10.2 iProov is not responsible for any disruption or degradation of service arising from:

(a) poor internet connectivity
(b) unsupported or faulty device hardware, including camera failure
(c) browser compatibility issues or unsupported operating systems
(d) technical constraints within the demonstration venue or local environment
(e) failures or interruptions in the underlying video conferencing infrastructure or other third-party systems beyond iProov’s reasonable control

10.3 You acknowledge that the success of the demonstration may be affected by environmental and technical factors outside iProov’s control and that iProov is not liable for any inability to complete or participate in the demo as a result of those factors.

11. Liability 

11.1 Subject to the remainder of this clause and recognising that the Verified Video Demo App is made available free of charge and solely for non-commercial demonstration purposes, iProov’s liability to you in connection with your use of the App shall be limited as follows:

a) If the liability arises from iProov failing to comply with its legal obligations to protect your personal data under applicable data protection law, or from any liability that cannot lawfully be excluded or limited, iProov accepts such liability to the extent required by law.
b) In all other cases, iProov’s total aggregate liability to you, whether in contract, tort (including negligence), or otherwise, shall be limited to £50.

11.2 iProov shall not be liable to you for:

a) any loss of profits, revenue, anticipated savings, goodwill, business opportunity, or contracts,
b) any wasted expenditure, loss of data, or data corruption,
c) or any indirect or consequential loss or damage of any kind, even if iProov was aware or had been advised of the possibility of such loss or damage arising in connection with your use of the Verified Video Demo App.

11.3 Nothing in this Agreement shall limit or exclude iProov’s liability for fraud, fraudulent misrepresentation, or personal injury or death caused by its negligence, or for any other liability that cannot be limited or excluded under applicable law.

11.4 Except as expressly stated in this Agreement, the limitations and exclusions of liability apply to all claims, losses, damages and causes of action, however arising, including negligence, misrepresentation, breach of contract, or otherwise.

12. Indemnification

12.1 You agree to indemnify, defend and hold harmless iProov, its affiliates, and their respective officers, employees and agents from and against all liabilities, losses, damages, costs, and expenses (including reasonable legal fees) that arise out of or in connection with:

a) any unauthorised use, misuse, or access of the Verified Video Demo App by you or on your behalf that breaches this Agreement or the Acceptable Use Policy;
b)any content, material or input provided or transmitted by you during the demonstration that infringes or is alleged to infringe any third party’s intellectual property rights or privacy rights;
c) any violation by you of applicable law, including but not limited to data protection, export control or communications law.

12.2 This means that you will be fully responsible for reimbursing iProov on a pound-for-pound basis for any such losses, without requiring iProov to first mitigate its loss, demonstrate foreseeability, or exhaust other remedies.

13. Termination

13.1 If you breach any provision of this Agreement, including the Acceptable Use Policy, your rights to access and use the Verified Video Demo App will terminate immediately and automatically. iProov may also suspend or restrict your access to the App at any time where such action is necessary to protect the security, integrity, or lawful operation of the demonstration.

13.2 The licences granted to you under this Agreement are granted on a temporary, revocable basis and may be terminated by iProov at any time, for any reason, and without notice, given that the App is provided free of charge for demonstration purposes only.

13.3 Upon termination, you must immediately cease all access to and use of the App. iProov reserves the right to delete or anonymise any personal data in accordance with its retention policy, except where legal obligations require continued retention.

13.4 Any provisions of this Agreement which by their nature are intended to survive termination shall continue in full force and effect. This includes, but is not limited to, clauses relating to confidentiality, data protection, intellectual property, indemnities, limitations of liability, and governing law.

14. Update to these Terms 

14.1  iProov may amend, update, or modify this Agreement (including the Acceptable Use Policy or any schedule) from time to time to reflect changes in law, operational practices, technology, or the scope of the demonstration.

14.2 Where material changes are made, iProov will take reasonable steps to bring them to your attention, which may include posting an updated version of the Agreement on its website, making it available within the App, or issuing a notice through the demonstration facilitator.

14.3 Your continued access to or use of the App after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the amended Terms, you must immediately stop using the App.

15. Governing Law and Jurisdictions 

15.1 This Agreement and any non-contractual obligations arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.

15.2 The courts of England and Wales shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with this Agreement.

16. Severability

16.1 If any provision or part-provision of this Agreement is found by a court or other competent authority to be invalid, unlawful or unenforceable, that provision or part-provision shall be deemed modified to the minimum extent necessary to make it valid, lawful and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any such modification or deletion shall not affect the validity and enforceability of the remaining provisions of this Agreement.

Schedule 1: Acceptable Use Policy

This Acceptable Use Policy (“Policy”) forms part of and is incorporated into the Verified Video Demo App Terms of Use (the “Agreement”). Capitalised terms have the meanings given in the Agreement.

1. No Inappropriate Content or Conduct

You must not use the Verified Video Demo App to generate, transmit, display or store any content or communications that are illegal, harmful, unwanted, or otherwise objectionable. This includes, but is not limited to, content or conduct that iProov reasonably determines to:

• (a) be false, misleading, or inaccurate;
• (b) promote hatred, violence, discrimination, or harassment against individuals or groups;
• (c) present a risk to public safety, individual dignity, or civil order;
• (d) be inappropriate in the context of a public or professional demonstration;
• (e) violate the integrity of the demonstration session, such as by disrupting or misusing the liveness detection features.

You are strictly prohibited from using the App to promote or facilitate the transmission or sharing of any such prohibited content.

2. Prohibited Activities

You must not use the Verified Video Demo App to:

• Violate any applicable laws, regulations, regulatory guidance, codes of conduct, or applicable industry standards.
• Interfere with, disrupt, or negatively affect the operation of the App or any connected services, including the underlying video conferencing platform or demonstration infrastructure.
• Attempt to copy, reverse engineer, decompile, disassemble, or otherwise gain access to any part of the App or its code, biometric models, or outputs.
• Falsify your identity or impersonate another individual during the demonstration.
• Present the App, or any part of it, as your own product or service, or attempt to licence, sell, or distribute access to it.
• Capture, record, or disseminate the App’s content (including images, results, or the demonstration interface) without iProov’s express prior written consent.
• Create or publish content that seeks to expose, highlight, or exploit any actual or perceived flaws or limitations in the Verified Video Demo App or iProov’s technology generally, without prior authorisation.

3. Integrity of the Demo Environment 

You must not:

• Attempt to bypass, exploit, or defeat any access controls, session restrictions, or technical limitations imposed on your use of the App.
• Attempt to identify or exploit vulnerabilities within the App or related infrastructure, or attempt to disable or circumvent any monitoring or security mechanisms.
• Introduce harmful code, files, scripts, malware, or automated agents (e.g. bots) into the demo environment.
• Take any action intended to degrade, overload, or deny access to the App or its supporting systems.
• Attempt to gain unauthorised access to any underlying system, API, storage resource, or configuration.
• Engage in conduct that may compromise the confidentiality, integrity, or availability of the App, the live video session, or iProov’s biometric technologies.

4. Data Safeguards

You must not:

• Attempt to extract, mine, or infer any biometric model behaviour or training data through repeated use, automation, or observation of the demonstration output.
• Store, transmit, or disclose any personal data captured during the demo other than as strictly permitted by iProov and the applicable Privacy Policy.
• Share screenshots, recordings, or transcripts of the demonstration session with any third party without prior written permission from iProov.
• Use the App to test third-party biometric data or conduct experimental trials without authorisation.

5. Enforcement

A breach of this Acceptable Use Policy constitutes a material breach of the Terms of Use. iProov may, at its sole discretion, suspend or terminate your access to the Verified Video Demo App, and take any further action it considers appropriate, including legal enforcement or disclosure to authorities.
